Molecule API Terms of Service
Version 1.0
Effective date: 2nd of October 2026
These Molecule API Terms of Service (the "API Terms") are a legally binding agreement between you and Molecule AG, a company incorporated under the laws of Switzerland with its registered office in Schaffhausen, Switzerland ("Molecule", "we", "us" or "our"). They govern your access to and use of the Molecule API.
Please read these API Terms carefully. In particular, Section 6 (Agents and Automated Use), Section 9 (Data Rooms, Encryption and Persistence), Section 11 (Onchain Actions), Section 17 (Disclaimers) and Section 18 (Limitation of Liability) allocate risk between you and Molecule and limit Molecule's liability. By accepting these API Terms, you expressly acknowledge and agree to those Sections.
1. Scope and Relationship to Other Terms
1.1 These API Terms constitute Service-Specific Terms within the meaning of Molecule's General Terms and Conditions available at https://molecule.xyz/terms-and-conditions (the "General Terms"). The General Terms apply to your use of the API, save as modified by these API Terms. The version of the General Terms incorporated is the version published at that address on the effective date of these API Terms, as identified in the acceptance record.
1.2 The Molecule API Acceptable Use Policy available at https://molecule.xyz/api-acceptable-use-policy (the "Acceptable Use Policy") and the Molecule Privacy Policy available at https://molecule.xyz/privacy-policy (the "Privacy Policy") are incorporated into these API Terms by reference. The version of the Privacy Policy incorporated is the version published at that address on the effective date of these API Terms.
1.3 In the event of any conflict or inconsistency, the following order of precedence applies: (a) any Partner Agreement, to the extent it addresses the same subject matter; (b) these API Terms, solely with respect to the API; (c) the General Terms. Where the Acceptable Use Policy and these API Terms both regulate the same conduct, the more restrictive provision applies. A data processing agreement entered under Section 15.4 prevails over these API Terms on the subject matter of that agreement.
1.4 If you accept these API Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, in which case "you" and "your" refer to that entity. You are bound in your personal capacity only as to that representation of authority.
2. Definitions
In these API Terms, the following terms have the meanings set out below. Capitalised terms not defined in these API Terms have the meanings given to them in the General Terms.
"Agent" means any software that calls the API with a degree of autonomy, including artificial intelligence agents, large language model tools and Model Context Protocol clients.
"API" means the application programming interfaces made available by Molecule, including the Molecule GraphQL API, the x402 payment gateway and any Model Context Protocol server operated by Molecule, together with the Documentation and any schemas, software development kits and sample code that Molecule makes available in connection with them.
"API Content" means all data and content made available through the API, including data relating to Labs, data rooms, files, IP-NFTs, IP Tokens, announcements, activity and onchain records.
"Confidential Content" means the content of any data room file that is protected by encryption so as to be readable only by persons satisfying the access conditions set for that file, together with any encryption keys, key material or passphrases made available through the API.
"Consumer Credential" means a secret credential that identifies an application to the API, whether issued by you through the Molecule Labs application (a "Self-Service Credential") or issued to you by Molecule.
"Credentials" means Consumer Credentials, Service Tokens and any other session, wallet, key or secret used to authenticate to the API.
"Documentation" means the developer documentation published by Molecule at https://docs.molecule.xyz, as updated from time to time.
"Onchain Action" means any operation that results in a transaction, signature, registration or record on a public blockchain, including minting, tokenization, linking of decentralised identifiers and payments made through the x402 payment gateway.
"Partner Agreement" means a separate written agreement between you and Molecule under which Molecule issues Credentials to you.
"Preview Feature" means any feature, field or operation of the API that Molecule designates as preview, beta, experimental or equivalent, and any feature available only in the Test Environment.
"Service Token" means a wallet-bound token that identifies the wallet on whose behalf an operation is performed.
"Test Environment" means any non-production environment of the API made available by Molecule, including the staging environment and its associated test networks.
"Your Application" means any software, service, script, Agent or integration that accesses the API using your Credentials.
"Your Content" means any data, files, metadata, announcements and other material that you or Your Application submit through the API.
3. Acceptance and Eligibility
3.1 You accept these API Terms by ticking the acceptance box presented when you issue a Self-Service Credential, or by otherwise expressly indicating your acceptance. Molecule keeps a record of the version of these API Terms that you accepted and the date and time of acceptance.
3.2 You may use the API only if you are at least eighteen (18) years old and satisfy the eligibility, sanctions and compliance requirements set out in the General Terms and in Section 20 of these API Terms.
3.3 If you hold Credentials issued under a Partner Agreement, these API Terms apply to you except to the extent the Partner Agreement provides otherwise.
4. Licence and Restrictions
4.1 Subject to your compliance with these API Terms, Molecule grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the API and the Documentation for the purpose of developing, testing and operating Your Application.
4.2 You shall not, and shall not permit any third party to:
(a) sell, resell, lease, sublicense or otherwise make the API or your Credentials available to any third party, or provide a service whose primary purpose is to proxy, repackage or replicate the API;
(b) access the API by any means other than the interfaces described in the Documentation, or use automated means to extract data from the Molecule Labs application or Molecule websites as a substitute for the API;
(c) circumvent or attempt to circumvent any authentication mechanism, access control, usage limit or other security or protective measure of the API;
(d) decompile, reverse engineer or otherwise attempt to derive any non-public part of the API, except to the extent that this restriction is prohibited by applicable law; or
(e) use the API in breach of the Acceptable Use Policy or any applicable law.
4.3 Molecule and its licensors retain all right, title and interest in and to the API and the Documentation. No rights are granted to you other than as expressly set out in these API Terms.
5. Credentials and Account Security
5.1 Each request to the API must be authenticated with a Consumer Credential, which identifies Your Application. Operations that create, modify or delete data additionally require a Service Token or an authenticated session, which identifies the wallet on whose behalf the operation is performed. Your permissions for such operations are determined by the role that the relevant wallet holds in the relevant Lab, as recorded onchain, and not by your Consumer Credential.
5.2 Molecule may determine, and may change from time to time, the number of Self-Service Credentials that you may hold, their lifetime and any other conditions of issuance, as described in the Documentation. The secret element of a Consumer Credential is displayed only once, at issuance. Molecule does not store it in retrievable form and cannot recover it.
5.3 You shall:
(a) keep your Credentials confidential and store them securely, and not embed them in source code, public repositories, client-side applications or any other location from which third parties may obtain them;
(b) not share your Credentials with, or transfer them to, any third party, and not use Credentials belonging to another person;
(c) where practicable, use a separate Consumer Credential for each application or Agent; and
(d) revoke any Credential without undue delay, and notify Molecule at [email protected], if you know or suspect that it has been disclosed to, or used by, an unauthorised person.
5.4 You are responsible for all activities carried out using your Credentials, whether or not authorised by you, until you have revoked the affected Credential.
5.5 Molecule shall implement reasonable technical and organisational measures to protect the API and Credentials. Molecule may revoke, expire or require the replacement of any Credential where it reasonably considers this necessary for security reasons.
5.6 Credentials are specific to the environment for which they are issued. The Test Environment is provided for development and testing purposes only. It may be reset, modified or subjected to stricter limits at any time and without notice, and operates on test networks on which digital assets have no value. You shall not submit Confidential Content or personal data to the Test Environment.
6. Agents and Automated Use
6.1 You may access the API through Agents in accordance with these API Terms and the Acceptable Use Policy.
6.2 You are responsible for all requests made by an Agent using your Credentials, including requests that the Agent initiates on its own, in response to content it processes or in error. For the purposes of these API Terms, the acts and omissions of an Agent using your Credentials are deemed to be your acts and omissions., except to the extent a loss is caused by Molecule's breach of these API Terms, by wilful misconduct or gross negligence, or is a liability that cannot be limited or excluded under applicable law.
6.3 Before an Agent performs an Onchain Action, makes any payment, deletes, overwrites or moves data room content, changes access to any content, or discloses Confidential Content to any person outside the relevant Lab, you shall ensure that the action has been reviewed and approved by an identified natural person for whom you are responsible. For an Onchain Action that transfers, mints or otherwise disposes of a digital asset, a payment above any threshold stated in the Documentation, a change to access conditions or keys, or a disclosure of Confidential Content outside the relevant Lab, that approval shall be specific to the action and shall not be given by a standing instruction alone. For any other action covered by this Section 6.3, you may instead implement documented controls appropriate to the risk, including spend limits, allow lists and a means to suspend the Agent.
6.4 You shall configure each Agent so that it identifies Your Application in the manner described in the Documentation, and shall not configure any Agent to represent itself as a natural person or as Molecule.
6.5 API Content may include material authored by third parties. You are responsible for treating API Content as untrusted input to Your Application and to any Agent, including by protecting against instructions embedded in files, metadata or announcements.
7. Usage Limits
7.1 Molecule may impose limits on the number, frequency, size and computational cost of requests to the API, applied per Credential, per account, per wallet, per IP address or otherwise, and may modify those limits at any time. Limits applicable to Self-Service Credentials apply collectively to all Self-Service Credentials held by you.
7.2 You shall comply with all usage limits, honour any retry interval communicated by the API, and design Your Application to use the API efficiently, in accordance with the Documentation.
7.3 You shall not exceed or evade any usage limit, including by creating or using multiple accounts, wallets or Credentials, by distributing requests across identities or by rotating Credentials.
7.4 Higher usage limits may be made available under a Partner Agreement or a paid plan.
8. Your Content
8.1 As between you and Molecule, you retain all rights, title and interest in and to Your Content.
8.2 The licence granted to Molecule in respect of User Content under the General Terms applies to Your Content, save that Molecule shall not (a) use Confidential Content or the content of any file submitted to a data room for marketing, promotional or communications purposes, or (b) use Confidential Content to train or fine-tune any machine learning model.
8.3 You represent and warrant that you hold all rights, consents and approvals necessary to submit Your Content and to permit Molecule to process it in accordance with these API Terms, and that Your Content and its submission comply with the Acceptable Use Policy and applicable law.
8.4 Molecule Labs is limited to anonymous or irreversibly anonymised data. You shall not submit personal data to any Lab or data room, or include personal data in any metadata, announcement or Onchain Action.
9. Data Rooms, Encryption and Persistence
9.1 Access levels. Each data room file is assigned an access level. Files designated as public are not encrypted and may be read by anyone. The confidentiality of any other file depends on the encryption of its content in accordance with the Documentation. An access level does not by itself restrict access to a file, and any access level that the Documentation identifies as not enforced provides no restriction.
9.2 Scope of encryption. Encryption applies to file content only. Metadata submitted with a file, including its description, tags, categories and searchable text, is not encrypted. You shall not include confidential information in such metadata.
9.3 Encryption and key release. Where you encrypt a file before upload in the manner described in the Documentation, file content is encrypted on the client using a per file data encryption key issued through the API, and only that encrypted content is transmitted to and stored by Molecule for that file. Molecule does not encrypt file content for you. Content you upload without completing that step is not encrypted. Data encryption keys are wrapped by a key custodian operated for the protocol and are released only to a caller whose wallet satisfies the access conditions stored with the file, as verified against onchain state at the time of the request. Molecule may change the key custody model as described in the Documentation.
9.4 Your responsibilities. Encryption is not applied automatically. You are responsible for (a) encrypting content before upload whenever you intend that content to be confidential, (b) setting access conditions that correctly reflect who may read the file, and (c) protecting any released key and discarding it after use. Any person whose wallet satisfies the access conditions of a file, including an Agent holding a role in the relevant Lab, may obtain its key. Revoking or allowing a role to expire prevents further key releases but does not affect content that has already been decrypted. Revocation does not affect any copy of a key, or of decrypted content, that has already been made.
9.5 Persistence. Files submitted to a data room may be stored on decentralised storage networks, including IPFS and Arweave, and their content identifiers are recorded onchain. Arweave is designed to store data permanently. Content stored on these networks may remain available after the relevant file has been removed from a data room, and Molecule has no ability to delete content from networks that it does not control. A file that you have encrypted before upload in accordance with Section 9.3 is stored on these networks in encrypted form. It is not readable by a person who does not hold the key or a copy of the decrypted content. A file you have not encrypted is readable by anyone who obtains it. Public files remain readable by anyone. You shall submit only content that you accept may persist indefinitely. You shall not submit personal data, or data, technology or material that is subject to export control, sanctions or dual use restrictions, to any path that writes to a decentralised storage network or records a content identifier onchain, except through a workflow that Molecule has separately approved in writing.
10. API Content
10.1 API Content includes content submitted by other users and data derived from public blockchains. Except as expressly set out in Section 4.1, these API Terms do not grant you any rights in API Content. You shall use API Content in accordance with the rights of its owners and any licence terms that apply to it, as indicated in the Documentation or in the API Content itself.
10.2 If you obtain access to Confidential Content, you shall (a) use it solely for the purposes for which access was granted by the relevant Lab, (b) not disclose it to any person outside that Lab without the prior consent of the Lab owner, and (c) protect it using at least the degree of care you apply to your own confidential information, and in any event no less than reasonable care.
10.3 You may cache API Content to the extent reasonably necessary for the operation of Your Application. You shall delete any cached Confidential Content within thirty (30) days after your entitlement to access it ends, including where the relevant role has been revoked or has expired or the relevant Credential has been revoked, and shall do so earlier upon request from the Lab owner or Molecule where required by law or in response to a claim of infringement of third-party rights.
10.4 You may process API Content with artificial intelligence systems at the time of use, including for search, summarisation, classification and answering questions, for users who are entitled to access that API Content. You shall not use Confidential Content to train, pre-train or fine-tune any machine learning model. You shall not use any other API Content to train, pre-train or fine-tune any machine learning model except to the extent permitted by the licence terms applicable to that API Content and by the Acceptable Use Policy.
10.5 API Content is provided for information purposes only. Molecule does not verify any scientific claim, data, result or valuation, or the existence, validity or ownership of any intellectual property referred to in API Content. Nothing in API Content constitutes scientific, medical, legal, financial or investment advice.
11. Onchain Actions
11.1 Onchain Actions are recorded on public blockchains, including Ethereum and Base. Once an Onchain Action has been included in a block and confirmed, Molecule cannot cancel, reverse or modify it. A transaction that has been submitted but not yet included may fail, be dropped or be replaced. Molecule does not undertake to cause any of those outcomes. You are solely responsible for verifying each Onchain Action before you or Your Application authorise it.
11.2 Information recorded onchain, including wallet addresses, decentralised identifiers, content identifiers and token metadata, is publicly accessible and may be permanent. Molecule cannot delete or amend such information.
11.3 You are solely responsible for the wallets you use in connection with the API and for the security of their private keys, recovery phrases and signing permissions. Molecule does not hold custody of your digital assets and cannot recover lost keys. Where the Documentation states that Molecule signs or submits a transaction using its own keys, including to authorise a mint, relay a transaction or sponsor network fees, Molecule does so as operator of the service. That statement describes the technical operation. It is not a determination of whether a custodial, agency or regulated relationship arises, which depends on who controls the relevant keys, assets and transaction parameters. Molecule will not sign or relay an Onchain Action that disposes of your digital assets unless you, or a natural person for whom you are responsible, have approved that action in accordance with Section 6.3.
11.4 You are responsible for all network fees associated with your Onchain Actions, unless Molecule expressly elects to sponsor them. Molecule may discontinue any sponsorship of network fees at any time.
11.5 Onchain Actions depend on smart contracts, blockchain networks, wallet providers and node infrastructure that Molecule does not control and that may contain defects or be subject to congestion, forks or failure. Subject to Section 18, you bear the risks associated with such systems.
11.6 The API is a technical interface. Nothing made available through the API constitutes an offer, solicitation or recommendation to acquire, dispose of or hold any IP-NFT, IP Token or other digital asset, and Molecule makes no representation as to the value, liquidity or legal characterisation of any digital asset.
11.7 Minting, tokenizing, transferring or linking an IP-NFT or IP Token through the API is a technical operation. It does not in itself create, transfer or evidence title to any intellectual property. Molecule gives no warranty as to the existence, validity, ownership or enforceability of any rights that a digital asset is represented to relate to. Such rights are governed exclusively by the agreements between the relevant parties.
12. Fees and Payments
12.1 Access to the API is currently provided free of charge, save for operations offered through the x402 payment gateway.
12.2 Certain operations may be paid for on a per-request basis through the x402 payment gateway in USDC on the Base network. The applicable price is stated in the payment request returned before payment is made. Each payment constitutes an Onchain Action, is processed through a third-party facilitator and is final upon settlement. Payments are non-refundable, except where Molecule fails to perform the paid operation for reasons attributable to Molecule or where a refund is required by mandatory law.
12.3 Molecule may introduce fees, paid plans or usage-based charges for the API. Molecule shall give you at least thirty (30) days' prior notice before any new fee applies to your use, and shall not charge you under any paid plan unless you have separately agreed to it.
12.4 All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your payments, other than taxes on Molecule's net income.
13. Changes to the API; Preview Features
13.1 Molecule may modify, add or remove features of the API at any time.
13.2 Where Molecule intends to remove or make a backwards-incompatible change to a generally available feature of the API, Molecule shall give notice in accordance with Section 24.4 at least ninety (90) days before the change takes effect, identifying the affected version and any migration path Molecule makes available. Molecule shall continue to support the prior version of a generally available feature for that notice period, unless a shorter period applies under Section 13.3.
13.3 Molecule may make changes with shorter notice, or without notice, where required for security reasons, to comply with applicable law, to prevent abuse, or as a result of a change to or withdrawal of a third-party service on which the API depends.
13.4 Preview Features are provided "as is", may be modified or withdrawn at any time without notice, and are excluded from any commitment under Section 13.2 and from any service level. A feature that is generally available in production is not a Preview Feature merely because it can also be called from the Test Environment.
14. Availability and Support
14.1 Molecule does not guarantee any level of availability or performance of the API. The API may be unavailable or impaired from time to time, including during maintenance, incidents or failures of third-party services.
14.2 Molecule provides support for the API on a reasonable-efforts basis through the channels described in the Documentation.
15. Data Protection
15.1 In connection with the API, Molecule processes, as controller, account and authentication data, wallet addresses, Credential metadata (excluding the secret element of any Credential), usage and security logs (which may include IP addresses, request metadata and diagnostic information), and records of your acceptance of these API Terms. Such processing is carried out in accordance with the Privacy Policy and applicable data protection law, including the Swiss Federal Act on Data Protection and, where applicable, the General Data Protection Regulation.
15.2 The API is hosted in Switzerland. Molecule engages service providers in connection with the API, including for hosting, authentication, storage, blockchain infrastructure, payment settlement and error monitoring, as further described in the Privacy Policy.
15.3 Where Your Application processes personal data of your own users, you are solely responsible for compliance with applicable data protection law in respect of that processing, including the provision of privacy information and the existence of a lawful basis for processing. You shall not transmit personal data of your users to Molecule except as necessary for authentication or as expressly instructed in a data processing agreement entered under Section 15.4. The description of roles in this Section 15 describes the intended allocation. It does not override the allocation that follows from who determines the purposes and means of a given processing.
15.4 Where Molecule processes personal data on your documented instructions, the parties shall enter into a data processing agreement before that processing begins, whether or not you pay fees for the API and whether or not a Partner Agreement is in place. The data processing agreement shall address instructions, subprocessors, international transfers, security, incident notice, and deletion or return. Molecule is not obliged to carry out that processing until the data processing agreement is in effect.
16. Suspension and Termination
16.1 You may cease using the API and revoke your Credentials at any time.
16.2 Molecule may restrict, suspend or revoke your access to the API or any Credential, in whole or in part, where Molecule reasonably believes that:
(a) you or Your Application have breached these API Terms or the Acceptable Use Policy;
(b) your use of the API presents a security risk to the API, Molecule, other users or third parties, or any of your Credentials has been compromised;
(c) your use of the API may expose Molecule to legal liability or regulatory action, or suspension is required by applicable law or by a court or competent authority; or
(d) your use of the API is materially impairing the API or its use by others.
16.3 Molecule shall use reasonable efforts to notify you before taking action under Section 16.2 and to give you an opportunity to remedy the matter, unless doing so is impracticable or unlawful or the action is taken under Section 16.2(b) or (c). Molecule shall restore access once the cause of a suspension has been resolved, where appropriate. Good faith security research conducted in accordance with the Acceptable Use Policy is not, of itself, grounds for suspension. Molecule may still take the minimum action reasonably necessary to contain an apparent ongoing risk while it reviews a report.
16.4 Molecule may terminate your access to the API (a) with immediate effect for material or repeated breach of these API Terms or the Acceptable Use Policy, or (b) for convenience upon thirty (30) days' notice. Molecule may discontinue the API upon ninety (90) days' notice, or with shorter notice where required by law or by the withdrawal of a third-party service on which the API depends.
16.5 Upon termination, your Credentials shall cease to function, you shall cease all use of the API, and Section 10.3 shall apply to any cached Confidential Content. Your Content remains subject to the General Terms and to Section 9.5.
16.6 Sections 5.4, 6.2, 8, 9, 10.2 to 10.5, 11, 12.2, 15, 16.5, 16.6 and 17 to 25 survive termination of these API Terms.
17. Disclaimers
17.1 To the fullest extent permitted by applicable law, the API, the Documentation, API Content and Preview Features are provided "as is" and "as available", without any warranty of any kind, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, title or non-infringement. This Section 17 is subject to Section 18.4.
17.2 Without limiting Section 17.1, Molecule does not warrant that the API will be uninterrupted, timely, secure or error-free, that API Content or onchain data is accurate, complete or current, that any access level other than the encryption of file content restricts access to a file, or that any third-party network, wallet or service will operate as intended.
18. Limitation of Liability
18.1 Subject to Section 18.4, and To the fullest extent permitted by applicable law, Molecule shall not be liable for any indirect, incidental, special or consequential loss or damage, or for any loss of profits, revenue, data, goodwill or digital assets, arising out of or in connection with the API, whether in contract, tort or otherwise. The exclusion of loss of data and loss of digital assets does not apply to loss caused by Molecule's failure to apply a security measure that these API Terms require Molecule to apply.
18.2 Subject to Section 18.4, and To the fullest extent permitted by applicable law, Molecule shall not be liable for any loss or damage caused by blockchain networks, smart contracts, wallets or third-party services that Molecule does not control. This Section 18.2 does not apply to a transaction that Molecule signs, relays or settles using its own keys, to the extent the loss is caused by Molecule's own act or omission in doing so.
18.3 Subject to Section 18.4, Molecule's total aggregate liability arising out of or in connection with the API shall not exceed the greater of (a) twelve thousand Swiss francs (CHF 12,000) and (b) the fees paid by you to Molecule for the API during the twelve (12) months preceding the event giving rise to the liability. Molecule's total aggregate liability arising out of a breach of Section 9 or Section 15, or out of Molecule's processing of personal data, shall not exceed the greater of that amount and fifty thousand Swiss francs (CHF 50,000). In respect of Preview Features used otherwise than as a generally available production feature, Molecule's total aggregate liability shall not exceed the greater of one hundred Swiss francs (CHF 100) and the fees paid by you for those Preview Features.
18.4 Nothing in these API Terms, including Sections 17, 18.1, 18.2 and 18.3, limits or excludes liability for wilful misconduct or gross negligence, for death or personal injury caused by negligence, or for any other liability that cannot be limited or excluded under applicable law. Section 18.4 prevails over every exclusion, cap and disclaimer in these API Terms.
19. Indemnification
19.1 You shall indemnify and hold harmless Molecule, its affiliates and their respective directors, officers and employees from and against any third-party claim, and any resulting losses, damages, liabilities and reasonable costs (including reasonable legal fees), arising out of or in connection with (a) Your Application or any Agent using your Credentials, (b) Your Content, (c) your breach of these API Terms or the Acceptable Use Policy, or (d) your violation of any applicable law or the rights of any third party., in each case to the extent caused by your act or omission or by the act or omission of an Agent using your Credentials. This Section 19.1 does not apply to the extent a claim is caused by Molecule's breach of these API Terms, by Molecule's negligence, or by Molecule's modification of Your Content or of an Onchain Action.
19.2 Molecule shall notify you promptly of any claim subject to Section 19.1 and permit you to control its defence, provided that you shall not settle any claim in a manner that imposes any obligation or admission on Molecule without Molecule's prior written consent. Where a claim is subject both to this Section 19 and to a liability of Molecule, each party shall bear the portion of the claim corresponding to its responsibility, and neither party shall settle the claim in a manner that admits fault by the other without that party's prior written consent.
19.3 Section 19.1 does not apply to the extent that a claim results from Molecule's breach of these API Terms, and does not apply to consumers to the extent excluded by mandatory law.
20. Sanctions and Export Control
20.1 You represent and warrant that neither you nor any person owning or controlling you is the subject or target of economic or trade sanctions administered or enforced by Switzerland, the European Union, the United Kingdom, the United Nations or the United States, and that you are not located, organised or resident in any country or territory that is the subject of comprehensive sanctions. You shall not use the API on behalf of or for the benefit of any such person.
20.2 You shall comply with all applicable export control and sanctions laws, and shall not submit through the API any data, technology or material that is subject to export control, sanctions, biosecurity or dual-use restrictions without all required authorisations.
20.3 Molecule will, on a risk basis described in the Documentation, screen accounts, wallet addresses, IP addresses and transactions against sanctions lists and other risk sources, and may block, suspend or refuse any request, Credential or Onchain Action on the basis of such screening. Molecule will screen before it signs, relays or settles an Onchain Action using its own keys. A wallet screening result is not a determination that a person is or is not sanctioned. You may request a review of a screening decision by contacting [email protected].
20.4 You shall notify Molecule at [email protected] within twenty-four (24) hours after becoming aware of any breach of this Section 20.
21. Feedback and Publicity
21.1 If you provide Molecule with any suggestions, comments or other feedback relating to the API, Molecule may use such feedback without restriction and without any obligation to you.
21.2 You may state that Your Application uses the Molecule API. You shall not state or imply that Molecule endorses, sponsors or certifies Your Application, and shall not use Molecule's names, logos or trademarks without Molecule's prior written consent.
22. Amendments
22.1 Molecule may amend these API Terms and the Acceptable Use Policy from time to time. Molecule shall give at least thirty (30) days' notice of any material amendment by email, within the Molecule Labs application or in the Documentation before the amendment takes effect. Amendments required by law or necessary to address a security risk or abuse may take effect with shorter notice. Amendments do not apply retroactively.
22.2 Following the publication of an amended version, you will be required to accept that version before issuing any further Self-Service Credential. Existing Credentials continue to be governed by the amended version from its effective date. If you do not agree to an amendment, you shall cease using the API and revoke your Credentials before the amendment takes effect.
22.3 Each version of these API Terms remains available at its published location.
22.3 A change that reduces Molecule's commitments under Section 9, Section 13.2, Section 15 or Section 18, or that increases your payment obligations, does not bind an existing Credential unless you accept the changed terms, or unless the change is required by applicable law. If you do not accept such a change, you may terminate these API Terms by revoking your Credentials, and Molecule will not treat that termination as a breach.
23. Governing Law and Jurisdiction
23.1 These API Terms and any non-contractual obligations arising out of or in connection with them are governed by the substantive laws of Switzerland, excluding its conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods.
23.2 The courts of Schaffhausen, Switzerland, have exclusive jurisdiction over any dispute arising out of or in connection with these API Terms, subject to Section 23.3 and to any mandatory rule on jurisdiction that applies to you.
23.3 If you are a consumer, nothing in this Section 23 deprives you of the protection afforded by mandatory provisions of the law of your country of habitual residence, or of any right under such law to bring proceedings in the courts of that country.
24. General Provisions
24.1 Assignment. You may not assign or transfer these API Terms or any rights or obligations under them without Molecule's prior written consent. Molecule may assign these API Terms to an affiliate or to a successor to all or substantially all of its relevant business.
24.2 Severability. If any provision of these API Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects its original intent.
24.3 No waiver. No failure or delay by Molecule in exercising any right under these API Terms shall operate as a waiver of that right.
24.4 Notices. Molecule may give notices to you by email to the address associated with your account. A notice that amends these API Terms, changes fees, removes or breaks a generally available feature, or suspends or terminates access shall be sent to that email address, shall state its effective date, and is not given by a Documentation post alone. Molecule may also give other notices within the Molecule Labs application or in the Documentation. You may give notices to Molecule by email to [email protected].
24.5 Relationship of the parties. Nothing in these API Terms creates any partnership, joint venture, agency or employment relationship between you and Molecule.
24.6 Language. These API Terms are drawn up in English. Any translation is provided for convenience only, and the English version prevails.
